Terms of Service

These Terms of Service (“Terms”) govern your purchase and use of Ulysses32 (“the Software”), a self-hosted AI crew orchestration platform developed and distributed by Quantum Touch Limited, a company registered in Ireland (“we”, “us”, “Quantum Touch”). By purchasing, downloading, installing, or using the Software you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. What Ulysses32 Is

Ulysses32 is a user interface and orchestration layer that sits on top of the open-source OpenClaw framework and third-party AI providers chosen by you (e.g. Anthropic Claude, OpenAI GPT, Google Gemini, Mistral, Ollama, and others).

Ulysses32 is not an AI provider. We do not create, host, train, or control any artificial intelligence models. We provide the bridge — you choose the crew, the engines, and the destination.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to purchase and use Ulysses32. By purchasing the Software, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Licence Grant — Single-User Licence

Upon purchase, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable, single-user licence to install and use Ulysses32 on hardware you own or control, for personal or internal commercial purposes, subject to these Terms. This is a one-time purchase — there are no recurring fees for the core Software.

3.1 One Purchase = One User

Each licence is granted to one (1) named individual (the “Licensee”). The Licensee is the natural person identified by the name and email address used at the time of purchase. Only the Licensee may access and use the Software.

  • The Licensee may install the Software on up to two (2) devices they personally own or control (e.g. a desktop and a laptop), provided that only the Licensee uses the installation and only one installation is actively used at any given time.
  • The licence does not permit multiple people to access, use, or interact with a single installation, whether simultaneously or on a rotating basis.
  • If your organisation requires multiple users, each user must hold their own individual licence. Contact us for volume pricing.

3.2 What You May Not Do

You expressly agree that you will not, and will not permit any third party to:

  • Share, redistribute, sublicence, lease, rent, loan, sell, resell, or otherwise transfer the Software, your licence key, or access to any installation to any third party.
  • Provide access to your Ulysses32 installation to anyone other than the Licensee, whether by sharing credentials, providing network access, creating additional user accounts, or any other means.
  • Operate the Software as a service (SaaS), managed service, hosting service, or bureau service for third parties, whether for profit or otherwise.
  • Use a single licence to serve or benefit multiple users, departments, or organisations.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software beyond what is strictly required by applicable law (see Section 5).
  • Copy, reproduce, adapt, modify, translate, or create derivative works based on the Software or any part thereof (see Section 5).
  • Remove, alter, obscure, or tamper with any proprietary notices, labels, watermarks, licence keys, or copy-protection mechanisms in the Software.
  • Circumvent, disable, or interfere with any licence validation, authentication, or access-control mechanism in the Software.
  • Use the Software to violate any applicable law or regulation.

3.3 Licence Key

Your licence is activated by a unique licence key tied to your identity. The licence key is personal and non-transferable. You must not share, publish, post, or distribute your licence key. If we detect a licence key being used in violation of these Terms (including use by multiple persons or on more installations than permitted), we reserve the right to deactivate the key and terminate the licence without refund.

4. Intellectual Property

4.1 Our Intellectual Property

Ulysses32 — including but not limited to its source code, object code, user interface designs, visual design, layout, interaction patterns, orchestration logic, crew management systems, integration framework, API design, documentation, graphics, icons, and all associated materials — is the exclusive intellectual property of Quantum Touch Limited, protected by copyright, trade secret, and other intellectual property laws of Ireland, the European Union, and international treaties.

Your licence grants usage rights only. No ownership, title, or interest in the Software or any part thereof is transferred to you. All rights not expressly granted in these Terms are reserved by Quantum Touch Limited.

4.2 No Right to Reuse, Copy, or Extract Code

The purchase of a licence does not grant any right to:

  • Copy, reproduce, or extract any portion of the Software’s source code, object code, or assets for any purpose, including but not limited to incorporation into other software, personal projects, or competing products.
  • Use the Software as a reference, template, or basis for developing any other software product or service.
  • Extract algorithms, data structures, design patterns, UI components, CSS, JavaScript, HTML, or any other technical element from the Software for reuse outside of your licenced installation.
  • Train AI models, machine learning systems, or automated tools on the Software’s code, design, or content.

Viewing the source code (for example via browser developer tools, by inspecting files on your server, or through any other means) does not constitute a licence or grant of any rights to that code. All source code remains the copyrighted property of Quantum Touch Limited regardless of how it is accessed or observed.

4.3 Your Outputs

Quantum Touch claims no ownership or intellectual property rights over any content you create, generate, or produce using Ulysses32. Your outputs are yours.

4.4 AI-Generated Content — No IP Guarantee

We make no representations or warranties that AI-generated content is original, non-infringing, or eligible for copyright or other intellectual property protection in any jurisdiction. AI models are trained on large datasets and may produce outputs that resemble existing copyrighted works. It is your sole responsibility to review AI outputs for potential intellectual property issues, clear any necessary rights, and ensure compliance with applicable copyright, trademark, and other IP laws before publishing, distributing, or commercially exploiting AI-generated content.

5. Open-Source Components & Proprietary Boundary

Ulysses32 is built upon and incorporates certain open-source software components, including the OpenClaw framework and various third-party libraries. These open-source components are provided under their own respective open-source licences (e.g. MIT, Apache 2.0, ISC), which are included in the Software’s distribution.

Critical distinction:

  • Open-source components (OpenClaw core, third-party libraries) are governed by their own licences. Your rights to those specific components are defined by those licences, not by these Terms.
  • Everything else — including but not limited to the Ulysses32 user interface, visual design, layout, orchestration logic, crew management systems, integration framework, configuration systems, API endpoints, documentation, branding, and all custom code written by Quantum Touch — is proprietary and exclusively owned by Quantum Touch Limited.

The use of open-source components within Ulysses32 does not make the Software open-source, does not grant any additional rights beyond those in the open-source licences for those specific components, and does not create any right to copy, redistribute, or create derivative works of the proprietary portions of the Software.

For the avoidance of doubt: The fact that an open-source library is used in the Software does not entitle you to extract, decompile, or reverse-engineer the proprietary code that calls, integrates, wraps, extends, or interacts with that library.

6. Source Code Protection

6.1 Confidential & Proprietary

The source code of Ulysses32 (excluding open-source components governed by their own licences) constitutes confidential information and trade secrets of Quantum Touch Limited. Access to the source code — whether through your self-hosted installation, browser developer tools, server file access, or any other means — does not alter its confidential and proprietary status.

6.2 No Reverse Engineering

Except to the minimum extent expressly required by applicable mandatory law (such as EU Directive 2009/24/EC on the legal protection of computer programs, which permits limited decompilation solely for interoperability purposes), you shall not:

  • Reverse-engineer, decompile, or disassemble the Software.
  • Attempt to derive the source code, algorithms, data structures, or underlying ideas from the Software.
  • Use any tool, script, or automated process to extract, scrape, or catalogue the Software’s code or assets.

Where applicable law permits decompilation for interoperability, you must first request the necessary information from us at legal@strangematerials.com. We will provide the information needed for interoperability where we are legally required to do so.

6.3 No Competing Products

You shall not use any knowledge, information, code, or design obtained from the Software (whether through authorised use, inspection, reverse engineering, or any other means) to develop, assist in developing, or contribute to any software product or service that competes with or is substantially similar to Ulysses32 or any other product of Quantum Touch Limited.

7. You Are the Captain

Ulysses32 is designed around a simple principle: you are in full control. You are solely responsible for:

  • The design and configuration of your ship (your Ulysses32 instance).
  • All integrations, API keys, and third-party services you connect.
  • The creation and behaviour of AI crew members, characters, and personas.
  • All instructions you give to AI models and all outputs they produce.
  • Any content generated, published, or distributed using the Software.
  • Compliance with the terms of service of your chosen AI providers.
  • Compliance with all laws applicable to your jurisdiction.

We have no visibility into, control over, or responsibility for what you build, instruct, generate, or deploy using Ulysses32.

8. AI Crew Members Are Software — Not Agents or Advisors

AI “crew members” within Ulysses32 are software simulations powered by third-party AI models. Despite their names, personalities, and conversational abilities, they are not:

  • Employees, contractors, agents, or representatives of Quantum Touch or any other party.
  • Legal persons with any form of authority, agency, or decision-making power.
  • Qualified professionals in any field.

AI crew outputs do not constitute professional advice of any kind, including but not limited to legal, medical, financial, tax, accounting, investment, therapeutic, engineering, or safety advice. AI models predict statistically likely text — they do not “understand”, “know”, or “decide” anything.

You must never rely on AI outputs for decisions affecting health, safety, finances, legal rights, or any critical domain without independent verification by a qualified human professional. Any reliance on AI-generated content is entirely at your own risk.

9. Installation Environment & Sandbox Recommendations

AI behaviour is inherently unpredictable. AI models may produce unexpected outputs, execute unintended actions through integrations, or behave in ways that differ from your instructions. For this reason, we strongly recommend:

  • Sandboxed installation: Run Ulysses32 in an isolated environment such as a Docker container, virtual machine, or dedicated server with limited permissions. This is the recommended deployment method.
  • Principle of least privilege: Grant the Software and its integrations only the minimum permissions necessary. Do not run Ulysses32 with root/administrator access unless absolutely required.
  • Network isolation: Where possible, restrict outbound network access to only the AI provider APIs and services you intentionally use.
  • Separate from critical systems: Do not install Ulysses32 on systems that host critical infrastructure, sensitive databases, financial systems, or production services without proper isolation.
  • Regular backups: Maintain independent backups of any important data on systems where Ulysses32 is installed.
  • Review integration permissions: Before connecting any integration or tool, understand what access it grants to AI crew members and the potential consequences of unintended actions.

If you choose to install Ulysses32 outside of a sandboxed or isolated environment, you do so entirely at your own risk. Quantum Touch accepts no liability for any damage, data loss, system compromise, unintended actions, or other consequences arising from the installation or operation of the Software in any environment, whether sandboxed or otherwise.

10. Third-Party AI Providers

Ulysses32 connects to AI providers selected and configured by you. Each provider has its own terms of service, pricing, usage policies, content policies, and data handling practices. It is your responsibility to review and comply with them.

Your API keys are stored exclusively on your machine or server. They never pass through our systems. We have no access to your API keys, prompts, outputs, or any data processed by your AI providers.

We make no guarantee of the continued availability, pricing, functionality, or compatibility of any third-party AI provider. If an AI provider changes its API, terms, pricing, or ceases operations, this is not a breach of our Terms and does not entitle you to a refund.

11. OpenClaw Foundation

Ulysses32 is built upon OpenClaw, an open-source multi-agent framework. OpenClaw is provided under its own open-source licence. Our Software adds a proprietary interface, orchestration tools, and user experience on top of OpenClaw. Your use of OpenClaw components is subject to the OpenClaw licence in addition to these Terms. See Section 5 for the full open-source vs. proprietary boundary.

12. No Warranty on AI Outputs

AI models can produce inaccurate, misleading, biased, offensive, or inappropriate content (“hallucinations”). We make no representations or warranties regarding the accuracy, reliability, completeness, legality, or suitability of any AI-generated content. You must independently verify all AI outputs before relying on them for any purpose.

13. Data and Privacy

Ulysses32 is self-hosted. All data remains on your machine or server. We do not collect, store, process, or transmit any user data, telemetry, analytics, or usage information. For full details, see our Privacy Policy.

14. Software Updates

Your purchase includes one year of free updates from the date of purchase. After the initial one-year period, continued access to new updates may require an optional paid renewal at the then-current renewal price.

Your existing software continues to work indefinitely regardless of whether you renew. No features will be removed or disabled if you choose not to renew — you simply will not receive new updates beyond your active update period.

15. Refund Policy

We offer a 7-day discretionary refund period from the date of purchase. After 7 days, all sales are final. Refunds within the 7-day period are granted at our discretion. Upon refund, your licence is immediately terminated and your licence key is permanently deactivated. For full details, see our Refund Policy.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall Quantum Touch be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Software.
  • Our total aggregate liability for all claims arising out of or relating to these Terms or the Software shall not exceed the amount you paid for the Software.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Quantum Touch Limited, its directors, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Software or any AI-generated content.
  • Content you create, generate, publish, or distribute using the Software.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third party’s rights, including intellectual property rights.
  • Any claim by a third party related to your AI crew members’ outputs or actions.
  • Your installation environment, configuration choices, or integration decisions.

18. Acceptable Use

You agree not to use Ulysses32 to:

  • Generate illegal content or content that violates the rights of others.
  • Harass, abuse, threaten, or harm any person or group.
  • Generate spam, malware, phishing content, or deepfakes intended to deceive.
  • Impersonate individuals or organisations without authorisation.
  • Generate or distribute child sexual abuse material or content exploiting minors.
  • Circumvent the terms of service or safety measures of any third-party AI provider.
  • Develop weapons, plan violence, or facilitate any form of terrorism.
  • Engage in any activity that violates applicable laws or regulations.

We reserve the right to terminate your licence immediately and without notice if we become aware of any use that violates this section.

19. Licence Enforcement & Audit

Quantum Touch reserves the right to implement technical measures to verify compliance with these licence terms, including but not limited to licence key validation, installation verification, and usage monitoring limited to licence-compliance data only (not personal data or usage content).

If we have reasonable grounds to believe that the Software is being used in violation of these Terms (including but not limited to unauthorised sharing, multi-user access on a single licence, redistribution, or code extraction), we reserve the right to:

  • Request reasonable evidence of licence compliance.
  • Deactivate the licence key.
  • Terminate the licence without refund.
  • Pursue all available legal remedies, including injunctive relief and damages.

20. Termination

We may terminate your licence if you breach these Terms. Upon termination:

  • You must immediately cease all use of the Software.
  • You must delete and destroy all copies of the Software in your possession or control, including backups.
  • Your licence key will be permanently deactivated.
  • You must certify in writing, upon request, that you have complied with these obligations.

Termination does not release you from any obligation or liability accrued before termination. Sections that by their nature should survive termination will survive, including: Intellectual Property (Section 4), Open-Source vs. Proprietary (Section 5), Source Code Protection (Section 6), Limitation of Liability (Section 16), Indemnification (Section 17), Licence Enforcement (Section 19), Governing Law (Section 22), and General Provisions (Section 24).

21. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact us at legal@strangematerials.com and attempt to resolve the dispute informally for a period of at least 30 days.

22. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland. Subject to the informal resolution requirement in Section 21, any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

For EU consumers: nothing in these Terms affects your statutory rights under the consumer protection laws of your country of residence. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

23. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Material changes will be communicated via email to the address associated with your purchase where possible. Continued use of the Software after changes constitutes acceptance of the new Terms.

24. General Provisions

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, and AI Transparency page, constitute the entire agreement between you and Strange Materials regarding the Software. They supersede all prior agreements, representations, and understandings, whether written or oral.

Waiver

The failure of Quantum Touch to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Force Majeure

Quantum Touch shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.

Assignment

You may not assign or transfer your licence or any rights under these Terms without our prior written consent. Any purported assignment without such consent is void. Quantum Touch may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Injunctive Relief

You acknowledge that any breach of Sections 3 (Licence Grant), 4 (Intellectual Property), 5 (Open-Source vs. Proprietary), or 6 (Source Code Protection) would cause irreparable harm to Quantum Touch for which monetary damages would be inadequate. Accordingly, Quantum Touch is entitled to seek injunctive or other equitable relief in addition to all other remedies available at law or in equity, without the necessity of proving actual damages or posting a bond.
